Terms & Conditions

These terms govern access to True Invoice and explain the responsibilities that keep the platform reliable for every business using it.

True Invoice provides software tools, not legal, accounting, or tax advice. Your business remains responsible for invoice accuracy, registrations, filings, credentials, deadlines, and compliance decisions.

Acceptance of these terms

These Terms & Conditions (“Terms”) form an agreement between True Invoice (“True Invoice,” “we,” “us,” or “our”) and the person or organization accessing the website, application, or related services (“you” or “Customer”). By creating an account, joining a company, or using the service, you agree to these Terms and our Privacy Policy.

If you use True Invoice for an organization, you confirm that you have authority to bind that organization. If you do not agree, do not use the service.

Eligibility and business authority

You must be legally capable of entering an agreement and use the service for lawful business or professional purposes. You are responsible for confirming that your use is permitted in your jurisdiction and industry.

Accounts and company access

  • Provide accurate registration and company information and keep it current.
  • Protect passwords, authentication methods, API credentials, devices, and recovery channels.
  • Use individual accounts rather than sharing login credentials.
  • Promptly remove access for people who no longer represent the company.
  • Notify us promptly of suspected unauthorized access or misuse.

Company owners control invitations and role assignments. You are responsible for activity carried out through your account unless caused by our breach of these Terms.

The True Invoice service

True Invoice may provide customer and catalog management, quotes, public approval links, invoice creation, tax calculations, FBR readiness checks and submission workflows, PDF generation, email and WhatsApp-oriented sharing, payment records, company memberships, and related features.

Features may vary by plan, environment, configuration, region, product stage, and third-party availability. We may improve, replace, add, or discontinue features. Where a change materially reduces a paid service, we will provide reasonable notice when practicable.

Invoices, tax, and FBR responsibilities

You—and not True Invoice—are responsible for:

  • Accuracy and completeness of company, customer, product, invoice, tax, HS-code, unit, discount, currency, and payment information.
  • Determining whether registration, e-invoicing, sales tax, withholding, recordkeeping, or other obligations apply.
  • Obtaining and protecting valid FBR/PRAL registrations, credentials, certificates, tokens, permissions, and approvals.
  • Reviewing readiness results and submission responses before relying on an invoice as accepted.
  • Meeting filing, correction, credit-note, retention, and payment deadlines.
  • Consulting a qualified accountant, tax adviser, or lawyer where appropriate.

External acceptance, IRN/USIN generation, QR information, and response times depend on government and third-party systems. A saved, queued, or “ready” record is not necessarily an accepted FBR submission.

Plans, fees, and billing

Plan prices, limits, user seats, and included features are shown on the Pricing page or in an order agreed with us. Taxes may apply. Paid subscriptions may renew for the selected billing period unless cancelled before renewal, subject to the checkout terms presented when paid billing is enabled.

Annual pricing may reflect two months free compared with paying the monthly price for twelve months. Fees already charged are non-refundable except where required by law or expressly stated in an applicable order or refund policy. We may change future prices with advance notice; changes apply from a later renewal or purchase rather than retroactively.

If payment fails or an account exceeds plan limits, we may restrict paid features, prevent new records, request an upgrade, or suspend service after reasonable notice where practicable.

Your content and permissions

You retain ownership of the business data and materials you submit (“Customer Content”). You grant True Invoice a limited, non-exclusive right to host, process, transmit, reproduce, format, back up, and display Customer Content only as needed to operate, secure, support, and improve the service or comply with law.

You confirm that you have the rights and lawful basis needed to enter and process Customer Content, including personal and tax information relating to customers, staff, and other parties.

Acceptable use

You must not:

  • Use the service for fraud, tax evasion, false invoicing, impersonation, harassment, infringement, or unlawful activity.
  • Submit malicious code, overload the service, probe vulnerabilities, bypass controls, or interfere with other users.
  • Access another company’s information without authorization or attempt to defeat tenant separation.
  • Reverse engineer or copy protected platform components except where law cannot restrict that activity.
  • Use automated means that create unreasonable load or violate documented limits.
  • Misrepresent a test, mock, sandbox, failed, or pending submission as officially accepted.

Our intellectual property

True Invoice and its licensors own the service, software, interface, documentation, trademarks, and related materials, excluding Customer Content. These Terms give you a limited, revocable, non-transferable right to use the service during your authorized account period. Feedback may be used to improve the service without obligation to you.

Third-party and government services

The platform may depend on hosting, storage, email, authentication, monitoring, FBR, PRAL, and other external services. Their availability, rules, responses, and data practices are outside our direct control. Your use of some integrations may also be governed by third-party terms.

Availability, maintenance, and beta features

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, security events, network issues, third-party outages, and force-majeure events may affect availability. Preview, beta, mock, or sandbox features may be incomplete, change without notice, and must not be used as proof of a production submission.

Suspension, cancellation, and termination

You may stop using the service and request account closure, subject to outstanding fees and lawful retention requirements. We may suspend or terminate access for material breach, non-payment, security risk, unlawful use, harm to the service or others, or where required by law.

Before closing an account, export records you need where export is available. After termination, access may end immediately and data may be deleted or retained according to our Privacy Policy, legal duties, backup cycles, and legitimate dispute or security needs.

Confidentiality

Each party must use reasonable care to protect non-public information received from the other and use it only for the relationship. This does not cover information that is public without breach, already lawfully known, independently developed, or properly received from another source. Required legal disclosure is permitted.

Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and guaranteed legal or tax compliance. We do not warrant that calculations, readiness checks, templates, or third-party responses will satisfy every customer’s obligations.

Limitation of liability

To the maximum extent permitted by law, True Invoice will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profit, revenue, data, goodwill, or opportunity; rejected or delayed submissions; tax assessments; penalties; or third-party service failures.

Our aggregate liability arising from the service will not exceed the fees you paid to True Invoice for the affected service during the three months preceding the event giving rise to the claim. This limitation does not apply where liability cannot lawfully be limited.

Indemnity

To the extent permitted by law, you will defend and indemnify True Invoice against third-party claims and reasonable costs arising from your Customer Content, unlawful or unauthorized use, infringement, inaccurate submissions, tax or regulatory non-compliance, or material breach of these Terms.

Governing law, changes, and general terms

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. Courts of competent jurisdiction in Pakistan will have jurisdiction unless applicable law requires another forum. Before formal proceedings, the parties should attempt in good faith to resolve the issue through written notice.

We may update these Terms as the service or law changes. Material updates will receive reasonable notice, and continued use after the effective date means acceptance. If one provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a restructuring or transfer of the service.
